These Terms of Use for the "Loyalty Automotive Club" platform (hereinafter referred to as "Terms of Use") clarify the rules governing the use of the platform available on the Loyalty Automotive Club website and any mobile application affiliated with "Loyalty Automotive Club" available from time to time (collectively referred to as "the Platform"), as well as any information, content, or materials published on or available through the Platform.

These terms and conditions govern and regulate visitors' access to the Platform and its contents, and how it is used ("you" or the user).

1. Who We Are and How to Contact Us

The Platform is managed and owned by Loyalty Automotive Club Egypt – L.L.C. (hereinafter referred to as "Loyalty Automotive Club," or "we," "us," "our"), which is a limited liability company. To contact us regarding these Terms of Use or any other matter related to your use of this Platform, please visit our "Contact Us" page.

2. Service Description and Content Policy

2.1. "Loyalty Automotive Club" provides the following services to users who comply with these terms through its platform: a) Car Owners: Provides them with the ability to purchase automotive related services delivered directly or indirectly through third party service providers. b) Car Dealers: Allows them to identify vehicles offered for sale and to trade vehicles among each other.

2.2. The user understands and acknowledges that "Loyalty Automotive Club" does not control or bear any responsibility for advertisements, car price evaluations, informational content, or any other content published or available through the Platform and the service ("Content"), and that by using the Platform and the service, they may be exposed to inaccurate, misleading, or unacceptable content. The user acknowledges and agrees that they are responsible for evaluating and using any content and bearing all risks related to its use, specifically the estimated market value of any car, and that under no circumstances shall "Loyalty Automotive Club" be liable for the content or for any loss or damage of any kind that may result from browsing, using, or reading any content available through the services.

3. By Using the Platform, You Accept These Terms of Use

By accessing and continuing to use the Platform, you confirm your acceptance of these terms and acknowledge and agree that these Terms of Use govern and regulate your access to and use of the Platform and any content available on it. You understand that these terms constitute a legally binding agreement between you and "Loyalty Automotive Club." If you are using the Platform as or on behalf of a commercial entity, you represent that you have the legal authority to legally bind that entity. If you do not agree to be bound by these terms, you may not access or use the Platform or any of its contents, and you must immediately cease using it. You are solely responsible for all information and data provided by you/to you regarding the cars you display or communicate with other users about on the "Platform."

4. Amendments to the Terms of Use by Loyalty Automotive Club

We may amend these Terms of Use from time to time, with or without notice. The new version of the Terms of Use will be published on this page. If you are a registered user, we may notify you of any material updates to these terms via email (for example, when legally required). Each time you wish to use the Platform, please review these Terms of Use to ensure you are aware of the terms and conditions applicable at that time.

5. Platform Modifications by Loyalty Automotive Club

We may make modifications to how the Platform operates and/or change any of its contents from time to time, without needing to notify you. This can be, for example, to reflect changes in the Platform's features and functionalities, current technological developments, market practices, applicable laws or regulations, and/or our business priorities.

6. Suspension or Withdrawal of the Platform by Loyalty Automotive Club

We do not guarantee that the Platform and/or any content on it will always be available for free or publicly. We may suspend, withdraw, or restrict the Platform or any part of it for operational and/or commercial reasons.

7. Privacy

Please refer to our Privacy Policies to understand how we collect, process, and share your personal data in connection with your use of the Platform. "Loyalty Automotive Club" is committed to applicable data protection laws, and you undertake not to misuse others' personal information or access it unlawfully.

8. Right to Use the Platform and Content

Subject to your continued compliance with these Terms of Use, "Loyalty Automotive Club" grants you a personal, limited, non-transferable, non-exclusive, and revocable right to use the Platform and the Content. You may print one copy and download excerpts of any page on the Platform for your personal use – not for commercial or promotional purposes – and you may draw the attention of others to content available on the Platform. You must not modify the paper or digital copies of any materials you have printed or downloaded in any way, and you must not use any illustrations, images, video or audio clips, or any graphics separately from the accompanying text. You are not entitled to use any part of the Content for commercial purposes without obtaining formal authorization from "Loyalty Automotive Club" to do so. "Loyalty Automotive Club" is the owner or licensee of all rights (including intellectual property rights) in the Platform and any content on it, including, but not limited to, any designs, texts, and graphics, as well as their selection and arrangement. The Platform and the Content are protected by copyright laws and treaties around the world, and all such rights are reserved. All trademarks, logos, trade dress, and service names and marks ("Services") displayed on the Platform are owned by us or certain third parties. You may not use them without our prior written permission.

9. Restrictions

The user must not:

• Use the Platform in any unlawful manner or for any unlawful purpose.

• Attempt unauthorized access to the Platform or to the server where the Platform is stored or any server, computer, or database connected to the Platform.

• Interfere with, damage, or disrupt any part of the Platform, or any content, or any equipment, or network on which the Platform or any content is stored, or any software, systems, or other equipment used in providing the Platform or any content.

• Knowingly introduce viruses, trojans, worms, malware, or any other harmful or technologically damaging material to the Platform.

• Impersonate any other person while using the Platform.

• Act in a rude, abusive, annoying, inappropriate, or disruptive manner while using the Platform.

• Use the Platform to create unsolicited advertisements or send spam messages.

• Reproduce, duplicate, copy, sell, trade, resell, or exploit any part of the Platform or any content for any commercial purpose.

• Use manual means, or any software, devices, scripts, robots, or any other means or processes (including what are known as "spiders" and "bots" and "crawlers") to extract data from the Platform or its content, or create or compile (in a single or multiple downloads) a collection, database, or directory from the Platform or its content, or bypass or attempt to bypass any robot exclusion protocols we may implement.

• Reverse engineer, decompile, disassemble, resolve, or attempt to extract the source code of the Platform and/or its content by any means.

• Display any incorrect or inaccurate data about the cars displayed by the user.

• Display fake advertisements for cars not legally owned by the user. We will report any violation of the above restrictions to the competent law enforcement authorities, and we will cooperate with those authorities by disclosing your identity to them.

10. Account Creation

Account Creation: The user may browse the Platform as a visitor, however, they must create an account on the Platform ("Account") to access certain specific features on the Platform. If the user chooses to register and create an account, they must provide certain information about themselves as required during the account registration process on the Platform. Accurate and Up-to-Date Information: If the user creates an account, all information they provide during registration must be true and accurate. If any of the information they provided becomes incorrect, inaccurate, or incomplete for any reason, they must update it to ensure its accuracy. How the user can delete their account: The user can request to delete their account by sending an email to the official website email. "Loyalty Automotive Club" recommends that the user consume any active and valid packages or services they have purchased before requesting deletion. User's responsibility for their account: The user is responsible for maintaining the confidentiality of their account login data (specifically the password). Therefore, the user will be responsible for all activities that will be used through their account. User's responsibility for their account: The user is responsible for maintaining the confidentiality of their account login information (including the password). Consequently, the user is responsible for all activities that occur on their account. Unauthorized use of the user's account: The user must immediately notify "Loyalty Automotive Club" if they suspect or become aware of any unauthorized use of their account or any other security breach related to the account. Privacy: All information provided by the user to create their account will be used by "Loyalty Automotive Club" in accordance with its Privacy Policy.

11. Advertisements

The Platform allows users who wish to sell vehicles ("Seller") to advertise these vehicles or services ("Advertisement" for each) to other users on the Platform. An interested user in this vehicle ("Buyer") can then contact the Seller (via the Advertisement) to make an offer to purchase this item or service. If you are the Seller, you must adhere to the following:

11.1. Be legally authorized to sell the vehicle or provide the service via the Platform.

11.2. Be the legal owner of the vehicle or service or be legally authorized to sell the vehicle or provide the service advertised in your listings.

11.3. Ensure that your advertisement complies with our Privacy Policy.

11.4. Include a complete and accurate description of the vehicle or service in your advertisement.

11.5. Include only one vehicle or one service in any advertisement, and do not sell multiple items or services in one advertisement.

11.6. Do not post advertisements in inappropriate categories or regions for the content of the advertisements on the Platform.

11.7. Do not post advertisements for counterfeit vehicles or services that infringe upon the copyrights, trademarks, or other rights of others.

11.8. Do not use the Platform as an agent or intermediary service for a third party to post advertisements on behalf of others.

11.9. Comply with all applicable laws and regulations regarding your advertisement.

11.10. Act legally and in good faith when dealing with buyers.

11.11. Ensure that any vehicle you advertise is roadworthy and available for sale.

11.12. Be legally authorized to sell the vehicle (or have authorization from the owner, if you are creating an advertisement on their behalf).

11.13. Ensure that the vehicle is located in the country where you reside and is accurately described in the advertisement.

11.14. Provide proof of ownership and/or proof that the vehicle is located in the country where you reside and/or has been cleared through local customs upon request by "Loyalty Automotive Club." Failure to provide this proof within the specified timeframe may result in the immediate removal of the advertisement without prior notice or refund of the advance payment.

11.15. Include a price for the car with an accurate description, whether the payment method is cash or installments, with an indication of the available installment methods. If you are the Buyer, you must adhere to the following:

• Be legally authorized to purchase the vehicle or service via the Platform.

• Act legally and in good faith when dealing with any seller.​

12. Uploading Content to the Platform

Any content you upload to the Platform, including part of an advertisement, will be considered non-confidential and non-proprietary. You retain all your ownership rights in the content, but you must grant us and other users of the Platform a limited, non-exclusive, royalty-free, transferable, worldwide license and permission to use, store, copy, distribute, and make this content available to third parties. More specifically, you grant us a perpetual, worldwide, non-exclusive, royalty-free, and transferable license to use, copy, distribute, prepare derivative works of, display, and perform your content in connection with the service provided on the Platform and to promote the Platform. You bear full responsibility for securing, protecting, and backing up the content. "Loyalty Automotive Club" has the right to disclose your identity to any third party who has complained that the content you published or uploaded to the Platform infringes their intellectual property rights or their privacy rights, in a manner that does not violate applicable laws and regulations. "Loyalty Automotive Club" reserves the right to remove any content published or uploaded by you to the Platform, with or without notice, if it deems, in its sole discretion, that it violates the Terms of Use, including its privacy rules.

13. Acceptable Use Policy

When you use any feature that allows you to upload content to the Platform or communicate with other users, you must comply with the standards referred to in Article 11 of the Terms of Use. You warrant that any content you upload complies with those standards, and you will be liable to us and indemnify us for any breach of this warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of this warranty.

14. Payment Processing

"Loyalty Automotive Club" has the right to collect payments from you via the Platform, when you choose to purchase paid services. If you make a payment via the Platform by providing payment method details at checkout, you authorize "Loyalty Automotive Club" to deduct the amount due and displayed to you at checkout through the use of a third-party payment processing service chosen by "Loyalty Automotive Club." "Loyalty Automotive Club" is not responsible for any losses you may incur if your chosen payment method does not have sufficient balance to cover the value of these payments.

15. Limitation of Liability and Indemnification

We undertake not to disclaim or limit our liability to you in any way in cases where it is unlawful. In accordance with the foregoing, the liability of "Loyalty Automotive Club" to you is defined as follows: We provide the Platform and any software, services, content, or materials (including, but not limited to, third-party products and services) available through or in connection with the Platform, as is and as available, without providing any warranties of any kind, whether express, implied, or statutory, except for mandatory warranties required by Egyptian law. Except for any cases of fraudulent conduct, gross negligence, or willful misconduct on the part of "Loyalty Automotive Club," you agree to evaluate and bear all risks associated with your use of the Platform to the fullest extent permitted by Egyptian law. This includes, but is not limited to, reliance on the accuracy, completeness, or usefulness of any software, content, services, products, or materials (including third-party products and services, and their provision and creation) available through or in connection with the Platform. Except as provided by Egyptian law, "Loyalty Automotive Club" or any affiliated entity shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, in connection with the Platform, content, services, or software, under any agreement, negligence, strict liability, or any other theory; this includes, but is not limited to, damages resulting from loss of profits, use, data, loss of intangible assets, or loss of security of information you provided in the context of your use of the Platform or unauthorized interception of that information by a third party. "Loyalty Automotive Club" or any affiliated entity or company shall also not be liable – including, but not limited to – for any damages resulting from your use of the Platform or your inability to use it, or resulting from the content advertised and published on the Platform by "Loyalty Automotive Club" or any third party.

16. Violation of Terms of Use

If "Loyalty Automotive Club" deems, in its sole discretion, that you have violated any term of the Terms of Use, it reserves the right to take such action as it deems necessary in its sole discretion, including, but not limited to, suspending or withdrawing your right to use the Platform or its contents, or closing your account and/or taking any legal action against you.

17. Reporting Illegal or Infringing Content

If you encounter any content on the Platform that you believe is illegal, please contact us immediately via the official website email with full details of the illegal content. If you are an intellectual property rights owner, or an agent of the owner, and you believe that any content on the Platform infringes your intellectual property rights or the intellectual rights of the owner you represent, please send an official notice to "Loyalty Automotive Club" via the official email address including full details of the alleged infringement. "Loyalty Automotive Club" will make reasonable efforts to remove any content that infringes intellectual property rights from the Platform within a reasonable time frame.

18. General Provisions

Links to third-party websites or content: If the Platform includes links to other websites or third-party content (including advertisements), these links are provided for your information and to meet your needs only, and should not be construed as our approval of those websites or the content contained therein. We have no control over the content of third-party websites, and we disclaim responsibility for this matter. Rules for linking to the Platform: You are permitted to link to any page of the Platform or specific content therein, provided that this is done in a fair and legal manner and does not harm or exploit our reputation. Displaying Platform content within a frame on any other website is prohibited. You are prohibited from creating a link that in any way indicates a partnership, approval, or endorsement on our part where none exists, and we reserve the right to withdraw linking permission without prior notice. Communication: You can contact us via email. If we wish to contact you, we will send a message to the email associated with your account (if any). No liability for viruses: We do not guarantee that the Platform or the content will be secure or free from errors or viruses. You are responsible for configuring your device to access the Platform and its content securely. If necessary, you should use your own antivirus software. No liability for events beyond our control: We are not responsible for any delay or failure to perform our obligations resulting from events beyond our reasonable control (hereinafter referred to as "Force Majeure event"). A Force Majeure event includes any act, event, omission, or unforeseen accident beyond our reasonable control. In the event of such an event, our obligations shall be temporarily suspended for the duration of its continuance, and we shall have an additional period for performance equal to the period of delay, and we shall make reasonable efforts to terminate the event or find a solution that enables us to fulfill our obligations under the Terms of Use, despite the occurrence of the Force Majeure event. Other agreements between you and "Loyalty Automotive Club": If you have signed other agreements with "Loyalty Automotive Club" or its affiliates, or accepted special terms for other services provided by the Platform or its affiliates, these Terms of Use shall apply in addition to those agreements. In case of any conflict or ambiguity between these terms and any other agreement between you and "Loyalty Automotive Club," these terms shall apply and prevail only to the extent of such conflict or ambiguity. Transfer of rights and obligations: We may transfer our rights and obligations under the Terms of Use to any other entity. In such a case, you will be notified in writing, and we guarantee that this transfer will not affect your rights stipulated in the Terms of Use. No third-party rights under the Terms of Use: The Terms of Use apply exclusively between you and "Loyalty Automotive Club," and no third party has the right to claim enforcement of the Terms of Use or rely on any of its provisions. Retention of rights despite delay in enforcement: If we do not immediately demand that you fulfill your obligations in accordance with the Terms of Use, or if we delay in taking action against you due to your breach thereof, this does not mean that you are exempt from fulfilling these terms or that we waive our right to take action against you later. Severability: Each term of the Terms of Use shall be effective separately. If any court or competent authority determines that one of these terms is illegal, the other terms shall remain in full force and effect. Accessing the Platform from another location: The Platform is directed exclusively to residents in specific locations, and we do not guarantee that the content available on or through the Platform is suitable for use or available in locations where we do not explicitly provide the Platform, nor do we guarantee the Platform's compliance with the laws and regulations applicable in locations where we do not operate. Language: If these Terms of Use are translated into any other language and there is a conflict between the English text and the Arabic text, the Arabic version of the terms shall prevail to the extent permitted by applicable laws. Dispute Resolution: In the event of a dispute between you and "Loyalty Automotive Club," we recommend that you first contact us via email, and we will review your complaint and make every effort to resolve it. If the dispute cannot be resolved amicably, the Terms of Use – to the maximum extent permitted by applicable law – and their subject matter and drafting, including their interpretation and enforcement, and any non-contractual disputes or claims related thereto, shall be governed by the provisions of the laws of the Arab Republic of Egypt, and shall be interpreted accordingly. You irrevocably agree that the competent courts in Cairo Governorate shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with your use of the Platform or the Terms of Use, and all matters arising therefrom (including any dispute relating to the existence, validity, or termination of the Terms of Use, or any contractual or non-contractual obligation). Indemnification: To the fullest extent permitted by applicable local law, you agree to defend, indemnify, and hold harmless "Loyalty Automotive Club," its officers, affiliates, subsidiaries, successors, assigns, directors, employees, agents, service providers, suppliers, and officials from and against any and all claims, damages, liabilities, losses, costs, debts, or expenses (including, but not limited to, legal fees) arising out of (1) access to and/or use of the Platform and/or the Service; (2) your breach of any of the Terms of Use; (3) your infringement of any third-party rights, including, but not limited to, copyrights, trademarks, and other intellectual property rights, trade secrets, or any other property or privacy rights. This obligation to defend and indemnify shall remain in effect after the termination, modification, or expiration of these terms and your cessation of using the Service and the Platform.
